Terms of Service

1. Introduction and Acceptance

These Terms of Service ("Terms") form a legally binding agreement between you and Xiilio AI Ltd ("Xiilio AI", "we", "our", or "us") and govern your use of the Xiilio AI website at xiilio.ai, the Xiilio AI mobile and web applications, and any other services we make available that link to these Terms (together, the "Service").

We recommend that you save a copy of these Terms for your records.

2. About Us

Xiilio AI Ltd is a company registered in England and Wales under company number 17130301, with its registered office at 28 Cavendish Road Flat 5, Bournemouth, Dorset BH1 1RG, United Kingdom.

We supply AI-powered business software and agency services to business users.

3. Definitions

• "Account" means the registered account you create to access features of the Service.
• "Aria" means the conversational AI voice and chat assistant provided within the Service.
• "Content" means all text, images, audio, video, data, and other materials made available through the Service, whether provided by us, generated by AI, or submitted by you.
• "User Content" means any information or material that you submit, upload, or transmit to the Service, including voice audio, chat messages, form submissions, and profile information.
• "Commercial Services" means paid SaaS subscriptions, consulting, implementation, agency services, or other paid engagements governed by a separate written agreement between you (or your organisation) and Xiilio AI.

4. Eligibility

You may only use the Service if:

• You are at least 18 years old;
• You have the legal capacity to enter into a binding contract in your jurisdiction;
• You are not barred from using the Service under applicable law;
• If using the Service on behalf of an organisation, you have authority to bind that organisation to these Terms.

The Service is not directed to children under 18. If we learn that a user is under 18, we will suspend the account and delete the associated data.

5. Your Account

Account creation is optional. You may browse the Service anonymously. If you choose to create an Account, you agree to:

• Provide accurate, current, and complete information;
• Maintain the confidentiality of your password and login credentials;
• Notify us immediately of any unauthorised use of your Account;
• Be responsible for all activity that occurs under your Account.

We reserve the right to refuse registration, suspend, or terminate any Account that violates these Terms or that we reasonably believe poses a risk to the Service or to other users.

6. Description of the Service

The Service provides:

• An AI voice and chat assistant (Aria) that can respond to spoken and typed questions about Xiilio, our agents, and related business topics;
• Information about Xiilio's AI agents: NOVA, ARIA, CORTEX, NEXUS, SENTINEL, HERALD and the Rogue Agents human team;
• The ability to book a discovery call with a member of our team;
• Account management tools;
• Transactional notifications and emails.

We do not process in-app purchases through the Service. Any paid Commercial Services are agreed separately in writing.

We may add, modify, or remove features of the Service at any time.

7. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You must:

• Use the Service honestly and in good faith;
• Respect the rights and safety of others;
• Comply with all applicable laws and regulations;
• Report any bugs, vulnerabilities, or misuse to letsgo@xiilio.ai.

8. Prohibited Conduct

You must not:

• Use the Service for any unlawful, fraudulent, or harmful purpose;
• Attempt to gain unauthorised access to the Service, other accounts, or any underlying systems;
• Reverse engineer, decompile, disassemble, or otherwise attempt to extract source code or models from the Service, except to the extent permitted by law;
• Use automated systems (bots, scrapers, spiders) to access the Service, except for search engine indexing of public pages;
• Upload, transmit, or generate content that is unlawful, defamatory, harassing, threatening, obscene, hateful, or that infringes any third party's rights;
• Attempt to make Aria produce content that violates these Terms or applicable law, including prompt injection, jailbreaks, or circumvention of safety systems;
• Use the Service to generate or distribute spam, malware, or phishing content;
• Impersonate any person or entity or misrepresent your affiliation with any person or entity;
• Interfere with, disrupt, or place an unreasonable load on the Service or its infrastructure;
• Use the Service to train competing AI models or to build a competing product;
• Resell, sublicense, or commercially redistribute the Service without our prior written consent.

We reserve the right to investigate suspected violations, remove content, and suspend or terminate Accounts without notice.

9. AI-Generated Content

Aria and other AI features of the Service generate output using large language models. You acknowledge and accept that:

• AI-generated output may be inaccurate, incomplete, or inappropriate. Aria can make mistakes, produce information that looks plausible but is wrong ("hallucinations"), and give responses that are not suitable for your particular situation.
• AI-generated output is not professional advice. Aria's responses are for informational and interactive purposes only. Do not rely on Aria for legal, medical, financial, tax, accounting, regulatory, engineering, or any other professional advice. Always consult a qualified professional for decisions that matter.
• You are responsible for verifying AI-generated output before relying on it, acting on it, or sharing it with others.
• We are not liable for any loss, damage, or decision made in reliance on AI-generated output, to the fullest extent permitted by law.
• AI-generated output is not guaranteed to be unique. Identical or similar prompts may produce identical or similar responses for other users.

Reporting AI content issues

If you believe Aria has produced content that is unsafe, harmful, illegal, or otherwise problematic, report it immediately to letsgo@xiilio.ai with the subject line "AI Content Report". We review all reports and take appropriate action.

10. Bookings and Scheduled Calls

If you book a discovery call or meeting through the Service, you agree to:

• Provide accurate contact details;
• Attend at the scheduled time or cancel or reschedule in good time;
• Treat Xiilio AI team members with courtesy and respect.

Bookings are not a contract for paid services. Any paid engagement that follows will be governed by a separate written agreement.

11. Commercial Services

Paid SaaS subscriptions, consulting, implementation, managed services, and other commercial engagements with Xiilio AI ("Commercial Services") are governed by a separate written agreement signed between your organisation and Xiilio AI.

These Terms govern your use of the Service only. In the event of a conflict between these Terms and a Commercial Services agreement, the Commercial Services agreement prevails for the services it covers.

12. Intellectual Property Rights

Our intellectual property

The Service, including its software, design, interface, underlying technology, AI models, the Xiilio AI name, the names and characterisations of our AI agents (NOVA, ARIA, CORTEX, NEXUS, SENTINEL, HERALD), the Rogue Agents concept, logos, and all related marks and content, are owned by or licensed to Xiilio AI Ltd and are protected by UK and international intellectual property laws.

We grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for your personal or internal business purposes, in accordance with these Terms.

You may not copy, modify, distribute, sell, lease, sublicense, or create derivative works of the Service, except as expressly permitted by these Terms or by law.

Trademarks

"Xiilio", "Xiilio AI", "NOVA", "ARIA", "CORTEX", "NEXUS", "SENTINEL", "HERALD", "Rogue Agents", and related marks are trademarks of Xiilio AI Ltd. You may not use these marks without our prior written consent.

13. Your Content

You retain all ownership rights in User Content you submit to the Service.

By submitting User Content, you grant Xiilio AI a worldwide, non-exclusive, royalty-free licence to use, store, process, transmit, display, and adapt that User Content solely to the extent necessary to operate and improve the Service, to respond to your requests, and to comply with legal obligations.

We do not use your User Content to train AI models. We do not sell your User Content.

You represent and warrant that:

• You own or have the necessary rights to submit the User Content;
• Your User Content does not infringe any third party's rights;
• Your User Content does not violate applicable law or these Terms.

14. Third-Party Services

The Service uses third-party processors and infrastructure providers, including Supabase, Vapi.ai, Deepgram, ElevenLabs, Daily.co, Google Gemini, OpenAI, Calendly, Resend, Sentry, and Cloudflare R2. A full list and their roles are set out in our Privacy Policy.

Where third-party services are integrated into the Service, your use of them may also be subject to the third party's own terms. We are not responsible for third-party services' actions, content, or terms.

15. Privacy

Our collection, use, and protection of your personal data is governed by our Privacy Policy. By using the Service, you acknowledge that you have read and understood the Privacy Policy.

16. Disclaimers

We do not warrant that:

• The Service will be uninterrupted, timely, secure, or error-free;
• The results obtained from the Service will be accurate, reliable, or meet your requirements;
• Any errors in the Service will be corrected;
• The Service or its servers are free of viruses or other harmful components.

Nothing in these Terms excludes or limits liability for:

• Death or personal injury caused by our negligence;
• Fraud or fraudulent misrepresentation;
• Any other liability that cannot be excluded or limited under UK law.

17. Limitation of Liability

To the fullest extent permitted by law:

• Xiilio AI Ltd, its directors, officers, employees, contractors, and affiliates are not liable for any indirect, incidental, consequential, special, punitive, or exemplary damages arising out of or related to your use of the Service.
• Our total aggregate liability to you for any claim arising out of or relating to the Service, whether in contract, tort (including negligence), or otherwise, shall not exceed £100 (one hundred pounds sterling) or the total amount paid by you to Xiilio AI in the twelve months preceding the claim, whichever is greater.

Some jurisdictions do not permit limitations on implied warranties or exclusions of certain damages. In such jurisdictions, our liability is limited to the greatest extent permitted by law.

18. Indemnification

You agree to indemnify and hold harmless Xiilio AI Ltd, its directors, officers, employees, contractors, and affiliates from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising from:

• Your violation of these Terms;
• Your misuse of the Service;
• Your User Content;
• Your infringement of any third party's rights;
• Your violation of any applicable law.

19. Consumer Rights (UK and EEA)

If you are a consumer based in the United Kingdom or the European Economic Area, nothing in these Terms affects your statutory rights, including rights under:

• The UK Consumer Rights Act 2015;
• The UK Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013;
• The EU Consumer Rights Directive and its national implementations;
• The UK Supply of Goods and Services Act 1982 (where applicable).

You may have additional rights under local consumer protection law. These Terms do not override those rights.

20. Termination and Suspension

You may stop using the Service at any time. You may delete your Account in-app via Profile → Delete Account, or at xiilio.ai/delete-account.

We may suspend or terminate your access to the Service, with or without notice, if:

• You violate these Terms;
• Your use of the Service poses a legal, security, or operational risk;
• We are required to do so by law;
• We cease operating the Service.

On termination, all licences granted to you under these Terms end immediately. Sections that by their nature should survive termination (including Intellectual Property Rights, Disclaimers, Limitation of Liability, Indemnification, and Governing Law) will continue to apply.

21. Changes to These Terms

We may update these Terms from time to time to reflect changes in our Service, in applicable law, or in our business practices. If we make material changes, we will:

• Notify you by email (if you have an Account) or via a prominent in-app notice;
• Give at least 14 days' notice before the changes take effect;
• Update the "Last updated" date at the top of these Terms.

If you do not accept the updated Terms, your only remedy is to stop using the Service and delete your Account. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

22. Governing Law and Jurisdiction

These Terms and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with them are governed by and construed in accordance with the law of England and Wales.

The courts of England and Wales have exclusive jurisdiction to settle any dispute arising out of or in connection with these Terms or the Service, except that:

• If you are a consumer resident in Scotland or Northern Ireland, you may bring proceedings in your local courts;
• If you are a consumer resident in the European Economic Area, you may bring proceedings in the courts of your country of residence;
• Nothing in this section affects your mandatory rights under local consumer protection law.
